Terms of Service

These Terms of Service (the "Terms") govern your access to and use of DBCanvas, the browser-based database modeling service available at https://dbcanvas.io and https://platform.dbcanvas.io (together, the "Service"). The Service is operated by DBCanvas ("DBCanvas", "we", "us", or "our").

Please read these Terms carefully. By creating an account or using the Service, you agree to be bound by them. If you do not agree, do not use the Service. Each section below starts with a short plain-English summary; the summaries are provided for convenience and the full text is what governs.

1. Agreement and acceptance

In short: By using DBCanvas you accept these Terms, you must be at least 16, and if you sign up for a company you confirm you are allowed to do so.

By accessing or using the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy. These Terms form a binding agreement between you and DBCanvas.

You must be at least 16 years old to use the Service. If you create or join a workspace on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" then refers to both you and that organization.

2. Accounts and security

In short: Keep your account details accurate, keep your credentials secret, and turn on two-factor authentication; we may suspend accounts that appear compromised.

To use most features you need an account. You agree to provide accurate, current information when registering and to keep it up to date. You may sign in with an email address and password, and we strongly recommend enabling the optional TOTP two-factor authentication for additional protection.

You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at support@dbcanvas.io if you suspect unauthorized access. We may suspend or restrict an account if we reasonably believe it has been compromised, in order to protect you, other users, and the Service.

3. Plans, billing and renewals

In short: Paid plans renew monthly through Stripe until you cancel; mid-cycle plan changes are prorated, cancellation takes effect at the end of the billing period with no refund for the remainder unless the law requires one, and we give 30 days' notice before price changes.

DBCanvas offers a Free plan ($0, up to 3 projects, PNG export), a Pro plan ($19 per month per user), a Teams plan ($39 per month per workspace), and an upcoming Enterprise plan. Paid plans are billed monthly through our payment provider, Stripe, and renew automatically at the end of each billing period until cancelled.

If you upgrade, downgrade, or otherwise change plans in the middle of a billing period, Stripe prorates the charges for the remainder of that period automatically. You can cancel a subscription at any time from your account settings; cancellation takes effect at the end of the current billing period, and you keep access to paid features until then. Except where applicable law requires otherwise, we do not refund the remainder of a billing period after cancellation.

We may change our prices from time to time. If we increase the price of a plan you are subscribed to, we will give you at least 30 days' notice before the change applies to you, so you can cancel first if you prefer. Prices are exclusive of taxes; you are responsible for any applicable VAT, sales, or similar taxes, which will be added where we are required to collect them.

4. Copilot credits

In short: Included monthly AI credits reset each month and don't roll over; purchased credit packs last until used; all credits are non-refundable, and we may adjust included allowances going forward.

Use of the AI Copilot consumes credits. Plans may include a monthly credit allowance; included credits reset at the start of each monthly period and unused included credits do not roll over.

You can also buy one-time Copilot credit packs ($5 for 500 credits). Purchased credits persist until consumed and do not expire monthly. All credits, whether included or purchased, are non-refundable, have no cash value, and cannot be transferred or exchanged.

We may adjust the credit allowances included with each plan from time to time. Any such change applies prospectively only and does not affect credits you have already purchased.

5. Acceptable use

In short: Use DBCanvas lawfully and fairly: no illegal content, no attacks on the Service, no reselling or scraping, and no abusing the AI features.

You agree to use the Service only for lawful purposes and in accordance with these Terms. In particular, you must not:

Upload, store, or share content that is unlawful, or that infringes the intellectual property, privacy, or other rights of any person.
Probe, scan, penetration-test, or attempt to breach the security of the Service or interfere with its operation, except with our prior written consent.
Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent applicable law permits it despite this restriction.
Resell, sublicense, rent, or otherwise commercialize access to the Service without our written agreement.
Access the Service by automated means such as bots or scrapers, or harvest data from it, other than through interfaces we intentionally provide.
Use the AI Copilot in a way that circumvents credit limits, places excessive load on the Service, or otherwise exceeds reasonable fair use; we may throttle or limit AI features to protect the Service for all users.

6. Your content and ownership

In short: Your models, diagrams, and uploads are yours; you give us only the license we need to run the Service for you, and you're responsible for having the rights to anything you import.

You retain all ownership rights in the content you create or upload to the Service, including database models, diagrams, schemas, and attached files ("Your Content"). Nothing in these Terms transfers ownership of Your Content to DBCanvas.

You grant DBCanvas a limited, worldwide, non-exclusive license to host, store, process, transmit, and display Your Content solely as necessary to provide and maintain the Service for you and those you share it with. This license ends when Your Content is deleted from the Service, subject to the retention periods described in these Terms.

You are responsible for Your Content, including ensuring you have all rights and permissions needed for any schemas, data, or files you import into the Service.

7. Database connections and imports

In short: Only connect databases you're authorized to access; we use your credentials once, in memory, and never store them; imported sample rows become part of your project, and we recommend read-only credentials.

The Service can connect to an existing database to import its schema. When you use this feature, you warrant that you are authorized to connect to and introspect any database whose connection details you provide.

Connection credentials are used transiently, in memory, solely to perform the introspection request and are never stored by DBCanvas. During import, the database schema and a small number of sample rows per table are read and become part of Your Content, which is handled as described in Section 6.

We recommend using read-only credentials with the minimum access necessary. Connecting the Service to a production system is at your own risk, and DBCanvas is not liable for any effects on databases you choose to connect.

8. Data responsibility, backups and deletion

In short: DBCanvas is a design tool, not a backup service — export and keep your own copies of important work; deleted content may be gone for good, and content is permanently removed 30 days after termination.

The Service is a database design and modeling tool. It is not a system of record, an archival service, or a backup service, and you should not treat it as the only place where important work is stored. You are responsible for exporting and maintaining your own copies of any models, diagrams, or files that matter to you.

We run commercially reasonable backups as part of operating the Service, but these exist for disaster recovery of the Service as a whole. We do not guarantee that any particular piece of content can be recovered, and backups are not available for restoring individual items on request.

When you delete content yourself, deletion is immediate and irreversible, and DBCanvas has no liability for content you delete. When an account or workspace is terminated, associated content may be permanently deleted 30 days after termination, and DBCanvas has no liability for deletion occurring after that window. If you want to keep your work, export it before deleting it or requesting deletion of your account.

9. Security and breach notification

In short: We take reasonable security measures and will notify you of breaches affecting your personal data as the law requires, but no online service can promise perfect security.

We implement commercially reasonable technical and organizational measures designed to protect the Service and Your Content, including encrypted connections, access controls, and optional two-factor authentication. However, no method of transmission over the internet or of electronic storage is 100% secure, and DBCanvas does not warrant absolute security.

If we become aware of a security breach affecting your personal data, we will notify affected users and the competent authorities without undue delay, as required by applicable law, and will provide information about the nature of the breach and the steps we are taking.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANY LIABILITY OF DBCANVAS ARISING FROM UNAUTHORIZED ACCESS TO THE SERVICE, A DATA BREACH, OR THE LOSS OR CORRUPTION OF DATA IS SUBJECT TO THE LIMITATION OF LIABILITY SET OUT IN SECTION 15.

10. AI output disclaimer

In short: The AI Copilot can be wrong — always review generated SQL and schemas before using them anywhere that matters; we're not liable for what happens if you run unreviewed output.

The AI Copilot generates output using third-party AI models. When you use it, your prompts, attached files, and relevant project schema are sent to third-party AI model providers, routed via OpenRouter, to produce responses.

AI-generated output may be inaccurate, incomplete, or unsuitable for your purposes. We provide it without any warranty of accuracy, completeness, or fitness for a particular purpose. You must review all generated output — including SQL statements, migrations, and schema changes — before relying on it or using it in a production environment.

DBCanvas is not liable for any damage resulting from executing or otherwise relying on generated code or schema changes that you have not independently reviewed and validated.

11. Service availability and changes

In short: We aim for reliability but don't guarantee uptime; we may change or retire features, and we'll give paying customers reasonable notice of significant reductions.

We work to keep the Service available and performant, but we do not guarantee any particular level of uptime or that the Service will be uninterrupted or error-free. The Service may be temporarily unavailable during maintenance windows, which we schedule outside peak hours where practical.

We are continuously improving the Service and may add, modify, or discontinue features at any time. If we materially reduce the core functionality of a paid plan, we will give affected subscribers reasonable advance notice.

12. Third-party services

In short: DBCanvas relies on providers like Stripe, Supabase, Vercel, and AI model providers; their terms apply to their services, and we aren't responsible for their outages.

The Service depends on third-party providers, including Stripe for payments, Supabase and AWS for data hosting, Vercel for web hosting, Resend for email, and OpenRouter together with underlying AI model providers for Copilot features. Your use of features powered by these providers may also be subject to their own terms and policies.

While we choose our providers carefully, we do not control them and are not liable for failures, outages, or acts or omissions of third-party services, except to the extent required by applicable law.

13. Intellectual property

In short: The DBCanvas platform, brand, and code belong to us; if you send us feedback, we can use it to improve the product without owing you anything.

The Service itself — including its software, design, user interface, features, and branding — is and remains the property of DBCanvas and its licensors, protected by intellectual property laws. These Terms do not grant you any rights in the Service other than the right to use it as described here.

If you send us feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose, including improving the Service, without any obligation or compensation to you.

14. Disclaimer of warranties

In short: The Service is provided as-is; we don't make legally binding promises that it will be flawless or fit for every purpose.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DBCANVAS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR ANY OUTPUT WILL MEET YOUR REQUIREMENTS.

15. Limitation of liability

In short: We're not liable for indirect losses like lost profits or lost data, and our total liability is capped at what you paid us in the last 12 months (or USD 50 if greater).

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DBCANVAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, EVEN IF DBCANVAS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF DBCANVAS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DBCANVAS IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 50.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN THOSE JURISDICTIONS, THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION APPLY ONLY TO THE EXTENT PERMITTED BY APPLICABLE LAW, AND NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED.

16. Indemnification

In short: If your content, imported data, or breach of these Terms gets us into legal trouble, you cover the resulting costs.

You agree to indemnify and hold harmless DBCanvas from and against claims, damages, liabilities, and reasonable costs (including legal fees) arising from Your Content, from data or schemas you import into the Service, or from your breach of these Terms or of applicable law. We will notify you of any such claim and may participate in its defense at our own expense.

17. Term, suspension and termination

In short: You can stop anytime by cancelling your subscription, and account deletion is one email away; we can end or suspend accounts for non-payment or serious breaches, and some sections keep applying afterwards.

These Terms apply for as long as you use the Service. You may terminate at any time by cancelling your subscription and stopping your use of the Service; you can also request deletion of your account by contacting us at support@dbcanvas.io. We may terminate these Terms or your access to the Service with reasonable notice, or immediately in the case of a serious or repeated breach.

We may suspend access to some or all of the Service if payment for a paid plan fails and is not remedied, if we reasonably believe you have breached these Terms, or where necessary to protect the Service or comply with law. Where practical, we will notify you and give you a chance to remedy the issue before suspending.

Upon termination, your right to use the Service ends, and your content is handled as described in Section 8. Sections that by their nature should survive termination — including Sections 6 through 10, 13 through 16, and 20 through 22 — continue to apply.

18. Force majeure

In short: Neither of us is on the hook for delays caused by events genuinely outside our control.

Neither party is liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, governmental action, internet or utility failures, and failures of third-party infrastructure. The affected party will make reasonable efforts to mitigate the impact and resume performance.

19. Changes to these Terms

In short: We may update these Terms; for material changes we'll give you 30 days' notice, and continuing to use the Service means you accept the new version.

We may update these Terms from time to time, for example to reflect changes to the Service or to applicable law. If we make material changes, we will notify you at least 30 days before they take effect, for example by email or by a notice within the Service.

If you do not agree with the updated Terms, you may cancel your subscription and stop using the Service before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

20. Governing law and disputes

In short: These Terms follow the law of the place where DBCanvas is established, disputes go to the courts there, and consumers keep the protections of their local law.

These Terms are governed by the laws of the jurisdiction in which the operator of DBCanvas is established, without regard to its conflict-of-laws rules. The courts of that jurisdiction have exclusive jurisdiction over disputes arising out of or in connection with these Terms or the Service.

If you use the Service as a consumer, nothing in this section deprives you of the protection of mandatory provisions of the law of the country where you reside, or of your right to bring proceedings before the courts designated by those provisions.

Before starting formal proceedings, we encourage you to contact us at support@dbcanvas.io — most issues can be resolved quickly and informally.

21. General

In short: Standard housekeeping: if one clause fails the rest still stand, we can transfer this agreement if the business is sold, notices arrive by email, and claims must be brought within 12 months.

A few standard provisions round out these Terms:

Severability: if any provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions remain in full force.
Assignment: you may not assign or transfer these Terms or your account without our prior written consent; DBCanvas may assign these Terms in connection with a merger, acquisition, or sale of assets.
Entire agreement: these Terms, together with the Privacy Policy and the plan details you accept in the Service, constitute the entire agreement between you and DBCanvas regarding the Service and supersede any prior agreements on the subject.
No waiver: if we do not enforce a provision of these Terms, that is not a waiver of our right to enforce it later.
Notices: we may give you notices by email to the address associated with your account; please keep it current.
Time limit on claims: to the extent permitted by applicable law, any claim arising out of or relating to the Service or these Terms must be brought within 12 months of the event giving rise to it.
